Article III: OFFICERS AND BOARD OF DIRECTORS Section 1. The President shall preside at all meetings of the Association and the Board of Directors. He/she shall appoint all committee chairpersons, and shall be an ex-officio member of all committees. He/she shall appoint members to fill vacancies in the offices of Vice-President, Secretary, Treasurer, and Directorships occurring between elections. The President shall sign all documents requiring his/her signature and perform all other duties pertaining to his/her office. Section 2. The Vice-President shall perform the duties of President if the President is absent or unable to act. The President shall appoint another officer to perform these duties if the Vice-President is also absent or unable to act. The Vice-President shall assume the responsibilities of President if there is a vacancy, however occurring, in that office between elections. . The President shall sign all documents requiring his/her signature and perform all other duties pertaining to his/her office. Section 3. The Secretary shall be responsible for the correspondence of the Association, keep all minutes of meetings. Section 4. The Treasurer shall keep such books as are necessary in which shall be entered the amounts of money received and disbursed by the MCBA. The Treasurer shall prepare an annual report to be presented as decided on by the Board of Directors at a general meeting and published in the Association newsletter. The report shall contain an itemized account of all revenues and expenditures for the current year. Section 5. The Board of Directors shall be made up of ten (10) positions. Six (6) Directors shall be elected to two-year terms. A Director shall not be allowed to hold the office of Directorship for more than two (2) consecutive terms. Three (3) Directors shall be elected each year to ensure continuity. The President, Vice-President, Secretary, and Treasurer shall make up the four (4) remaining positions on the Board and shall be elected to one year terms. An officer shall not be allowed to hold the same office for more than three (3) consecutive terms. No member shall hold two (2) or more offices (including Directorships) in the Association at the same time. Section 6. At meetings of the Board of Directors, a quorum shall consist of |
